He had been partying since the win against Leonard and had to lose an unrealistic amount of weight before the fight which left him in terrible condition.The mind and heart is still there but the body is gone, he's in his sixties. He knew he didn't have a chance of winning and probably wouldn't even have had the stamina to finish -- so he quit.
