1. Speed: Sure Mayweather is super fast, but he is defensive first. Marquez is the second fastest guy he will have ever been in the ring with, and unlike Oscar or Judah when they fought Mayweather, he will throw back when he gets hit, and with astonishing accuracy.
2. Output: We saw Marquez throw a ton of punches against Diaz, if Mayweather fights too defensively, we will see him unable to return fire against Marquez.
3. Skill: Marquez is clearly the best fighter Mayweather has ever faced. He's not as technically skilled as Mayweather or as hard to hit, but he counters beautifully and makes up for his lack of defense in offensive skill, not only that but he also has a great chin, and I think its more than up to the task to withstand Mayweather's power.
4. Sharpness: Mayweather has been out of the game for awhile, Marquez's greatest skill is how sharp he is, he jumps on every oppertunity with supreme confidence, this could be his downfall against the fast counter punching Mayweather, but if Mayweather comes in anything less than the sharpest he has ever been than he is in trouble.

Mayweather gets caught up in his own skill, and doesn't really push to win rounds, while Marquez is a warrior who will do anything possible to win rounds and fights, that could be a huge factor in this fight. Mayweather could be doing great defensive work, but if he doesn't throw punches then he won't win rounds, and he will fight IMO differently in this fight in order to win. I think we could see a more exciting fight than most people are expecting.
You have very valid points, but here's why Marquez isn't as much of a threat as you think he is:

1. Marquez is a notoriously slow starter. 3 knockdowns versus Pacquiao in their first fight. Juan Diaz pummeled him for 6 rounds before he came on. Mayweather is very ring intelligent and knows how to zoom in on someone's weakness.

2. Marquez is fighting at his highest ever weight whereas Mayweather is coming down a few pounds. Unlike Oscar, going down won't be a problem for Mayweather. He only gains a few pounds in between fights and if you saw him in that commercial he stayed pretty shredded.

3. Chin and power. Not Marquez's, Mayweather's. Both are very underrated because they are both under-utilized. Mayweather can take a shot if need be and when he cracked Hatton with that hook he hurt him. He was hurting Judah over the course of several rounds. Marquez has a great chin too, but we don't know if he can handle it from Floyd whereas Floyd has been hit by stronger fighters in Judah and De La Hoya.

4. I hate to say it, but homecourt advantage. Mayweather is the more known fighter and there is every likelihood that given a close round judges might favor him.
